S.L. 460.41 Art. 37Representation of entity and liability for breach of duties. 

(1) Any natural person having the legal and judicial representation of the essential or important entity concerned, including the authority to take decisions on its behalf or, the authority to exercise control of it, shall have the power to ensure its compliance with this order and shall be liable for breach of his duties in case of non-compliance of the essential or important entity by means of an infringement of this order in particular articles 19 and, or 20:

Provided that this sub-article shall be without prejudice to national law regulating the liability of public servants and elected or appointed officials.

(2) If the natural person is found to be in breach of his duties, in case of non-compliance by the essential or important entity with this order, the CIP Department, or where designated the competent authority, may proceed against such natural person under article 31(10)(b).
