S.L. 386.26 Art. 14Registration of extraordinary resolution. 

(1) The extraordinary resolution approving the cross-

border division shall be delivered for registration to the Registrar within fourteen (14) days from approval, and the Registrar, being satisfied that the requirements of regulation 11 have been complied with, shall register the resolution and shall cause without delay a statement to be published in the Gazette or on a website maintained by the Registrar:

Provided that in the event of default in complying with the aforementioned period of fourteen (14) days, every officer of the company in default shall be liable to an administrative penalty, and for every day during which the default continues, to a further administrative penalty.

(2) The statement referred to in sub-regulation (1) shall include the following particulars:

(a) the date on which the registration of the extraordinary resolution was made, together with a reference that it was passed for the purposes of approving the cross-border division;

(b) the type, name, registration number and registered office of the Maltese company being divided; and COMPANIES

(c) the legal form and name proposed for the newly created companies resulting from the cross-border division and the proposed location of their registered office.
